1. Agreement to Terms
By creating an account, installing the Oumie Chrome extension, or using any part of the Oumie platform, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which are incorporated by reference. These Terms constitute a binding legal agreement between you and Oumie LLC, an Arizona limited liability company. If you do not agree, do not use Oumie.
2. Eligibility
You must be at least 13 years old to use Oumie. By using Oumie, you represent and warrant that you meet this age requirement. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms on your behalf.
3. Description of Services
Oumie is a study tracking platform. It includes a Chrome browser extension that automatically tracks time spent on websites while active, a web dashboard that displays your study analytics and Focus Score, an assignment calendar that syncs with your school's learning management system, an AI Coach that provides personalized study recommendations, and tools to help you understand your habits and patterns over time.
Universities pay for access to the Oumie institutional workspace, which allows authorized advisors to view engagement data for students who have consented to share. Students never pay for the Oumie student product.
For university administrators using the Oumie institutional workspace, separate enterprise terms apply as agreed in your institution's partnership agreement.
4. Accounts
To use Oumie you must create an account with a valid email address. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at oumiellc@gmail.com if you believe your account has been compromised. We are not liable for losses caused by unauthorized access resulting from your failure to secure your credentials.
5. Acceptable Use
You agree not to:
- Use Oumie for any unlawful purpose or in violation of any applicable law or regulation
- Access, query, or attempt to view data belonging to other users
- Scrape, crawl, or systematically extract data from the Oumie platform
- Reverse engineer, decompile, or attempt to extract source code from the Oumie extension or platform
- Automate installation of the Oumie extension across accounts you do not own
- Use Oumie to harass, intimidate, or target other users
- Impersonate another person or misrepresent your affiliation with a university
- Transmit malware, spam, or any content designed to harm our systems or other users
- Attempt to gain unauthorized access to any part of the Oumie platform or its infrastructure
By installing and activating the Oumie Chrome extension, you consent to automatic session tracking as described in our Privacy Policy. You can disable or uninstall the extension at any time to stop data collection.
6. Student Data
Your study session data, account information, and any other personal data you provide are handled in accordance with our Privacy Policy, which is incorporated into these Terms by reference. In the event of any conflict between these Terms and the Privacy Policy regarding the handling of personal data, the Privacy Policy controls.
You retain ownership of your data. Oumie LLC does not claim any ownership interest in your personal academic information. We use your data only as described in the Privacy Policy.
7. Institutional Partnerships
Universities that access Oumie's institutional workspace do so under a separate written partnership agreement with Oumie LLC. Those agreements govern the scope of data access, the obligations of the institution, and the terms of any student data sharing. Nothing in these Terms creates any obligation on Oumie's part to enter into a partnership agreement with any institution.
Pilot programs are time-limited and do not create any ongoing contractual obligation for either party beyond the pilot period. Continued access after a pilot period requires a signed agreement.
8. User Content
If you post content in any Oumie community or discussion feature — such as study group notes, comments, or shared resources — you own that content. By posting it, you grant Oumie LLC a non-exclusive, royalty-free license to display and distribute it to other users within the platform for as long as you choose to keep it posted.
You are responsible for any content you post. Do not post content that is illegal, harassing, defamatory, or that infringes another person's intellectual property.
9. Intellectual Property
The Oumie platform, name, logo, algorithms, and codebase are the property of Oumie LLC. We grant you a limited, non-exclusive, non-transferable license to use Oumie for your own personal academic use. You may not copy, resell, sublicense, or build other products using any part of the Oumie platform without our written permission.
Your data — your study sessions, assignment records, account information, and anything else you contribute — belongs to you. Oumie LLC does not claim ownership over any of your personal academic information.
If you choose to submit ideas, suggestions, or feedback about Oumie, you grant Oumie LLC a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, including incorporating it into the platform. We are not obligated to act on any feedback or to credit its source.
10. Disclaimers
THE OUMIE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM LOSS OF DATA.
OUMIE'S ANALYTICS, FOCUS SCORE, AND AI COACH RECOMMENDATIONS ARE PROVIDED FOR INFORMATIONAL AND DECISION-SUPPORT PURPOSES ONLY. THEY REFLECT PATTERNS IN YOUR TRACKED BEHAVIOR AND DO NOT CONSTITUTE PROFESSIONAL ACADEMIC COUNSELING. OUMIE DOES NOT GUARANTEE ANY ACADEMIC OUTCOME.
Always verify important assignment deadlines directly with your school. Do not rely solely on Oumie for academic planning decisions.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUMIE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, MISSED DEADLINES, ACADEMIC OUTCOMES, LOSS OF PROFITS, OR LOSS OF GOODWILL, EVEN IF OUMIE LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUMIE LLC'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUMIE IS LIMITED TO THE GREATER OF (A) THE TOTAL FEES YOU PAID TO OUMIE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
12. Indemnification
You agree to indemnify, defend, and hold harmless Oumie LLC and its officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the platform in violation of these Terms, your violation of any applicable law, or your infringement of any third-party right. This indemnification obligation does not apply to claims arising from Oumie LLC's own gross negligence or willful misconduct.
13. Termination
You can delete your account at any time through your account settings. Deletion triggers de-identification of your user record as described in our Privacy Policy.
We may terminate or suspend your access to Oumie at any time if you violate these Terms. We will give you reasonable notice before termination except where immediate action is necessary to protect the security or integrity of the platform or other users.
Upon termination for any reason, the following sections survive and remain in effect: Student Data, Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.
14. Governing Law
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of Oumie that is not resolved informally will be brought exclusively in the state or federal courts located in Arizona, and you consent to personal jurisdiction in those courts.
15. Changes to Terms
When we make material changes to these Terms, we will notify you by email and by displaying a banner in your Oumie dashboard. You will have 30 days from notification to delete your account if you do not agree to the updated Terms. Your continued use of Oumie after 30 days is your acceptance of the changes.
